Eligibility and acceptance

By engaging ASE Consultings or using this website, you agree to these terms and any project-specific terms in your proposal or statement of work.

Scope of services

We deliver engineering, procurement, commissioning, and aftercare services as defined in an approved scope brief or proposal.

Proposals and acceptance

Quotes and proposals remain valid for the period stated. Work begins upon written acceptance and agreed commercial terms.

Change orders

Scope changes require a written change order. Adjustments may affect price, timeline, or deliverables.

Client responsibilities

Clients provide accurate site information, access for surveys, and any regulatory documents required for compliance.

Site access and safety

Clients provide safe access to facilities and inform us of hazards or site restrictions before work begins.

Delivery and timelines

Lead times depend on scope, procurement cycles, and site readiness. We provide milestones and update schedules in writing.

Procurement and third-party services

Some equipment and services are provided by approved partners. Warranties and lead times may be subject to third-party terms.

Pricing and taxes

Prices exclude taxes, duties, and site-specific fees unless stated. These may be added based on location and regulatory requirements.

Payment terms

Payment schedules are defined in each proposal. Delays in payment may affect delivery schedules and warranties.

Warranties and aftercare

Equipment warranties and aftercare coverage follow the terms in your proposal and service-level agreement.

Intellectual property

Pre-existing tools, templates, and methods remain the property of ASE Consultings. Project deliverables are licensed for client use as defined in the proposal.

Confidentiality

Both parties agree to keep confidential information private and use it only for the purpose of the engagement.

Limitation of liability

Liability is limited to the value of the services provided, except where local law requires otherwise.

Indemnity

Clients agree to indemnify ASE Consultings for losses arising from inaccurate information, unsafe site conditions, or unauthorized use of deliverables.

Force majeure

Neither party is liable for delays caused by events outside reasonable control, including supply disruptions, regulatory changes, or extreme weather.

Termination

Either party may terminate in writing for material breach. Work completed to date will be invoiced per the agreed terms.

Governing law

The governing law is defined in the applicable proposal or statement of work unless otherwise agreed in writing.
